Terms of Service

Onlyway AI provides AI implementation services including custom AI development, workflow automation, voice agents, agentic AI systems, generative AI content, and strategic consulting. Our goal is to build and deploy AI solutions that create measurable, real-world results for your business.

By using our services, you confirm that you are at least 18 years old and have the legal authority to enter into agreements on behalf of yourself or your organization. If you are accepting these Terms on behalf of a company, you represent that you have the authority to bind that company.

All engagements begin with a free consultation to define scope, objectives, and deliverables. Services are outlined in a separate Statement of Work (SOW) or proposal document, which forms part of your agreement with us.

• We build solutions tailored to your specific business needs — nothing is off the shelf.
• Timelines, deliverables, and revision terms are agreed upon before work begins.
• Any changes to scope during an engagement must be agreed upon in writing.

• Fees are outlined in your project proposal or Statement of Work.
• A deposit is required before work commences. The amount is specified in your proposal.
• Remaining balances are due as outlined in the payment schedule for your project.
• Late payments may result in paused work or additional fees as specified in your SOW.
• All fees are non-refundable once work has commenced, unless otherwise agreed in writing.

Third-party tools or platforms integrated into your solution remain subject to their own licensing terms and agreements.

Both parties agree to keep confidential any proprietary business information shared during the engagement. We will not disclose your business data, workflows, or systems to third parties without your consent, except where required by law or necessary to deliver the agreed service.

To ensure a successful and on-time implementation, you agree to:

• Provide timely access to necessary systems, data, and stakeholders.
• Assign a point of contact to coordinate feedback and approvals.
• Ensure your team participates in handoff and training sessions.
• Use the implemented systems in accordance with applicable laws and regulations.
• Respond to requests for input or review within the timeframes agreed in your SOW.

Delays caused by lack of client cooperation may affect project timelines and are not the responsibility of Onlyway AI.

We are committed to delivering high-quality work and measurable impact. However, we cannot guarantee specific business outcomes such as revenue increases, cost savings, or lead conversion rates, as results depend on how solutions are used and on factors outside our control.

To the maximum extent permitted by law, Onlyway AI's total liability for any claim arising from our services is limited to the total fees paid by you in the three (3) months preceding the claim.

We are not liable for indirect, incidental, or consequential damages, including but not limited to lost revenue, lost data, or business interruption — even if we have been advised of the possibility of such damages.

Either party may terminate an engagement with written notice. Upon termination:

• You are responsible for payment for all work completed up to the date of termination.
• We will deliver all completed deliverables to you at time of termination.
• Any ongoing access we have to your systems will be fully revoked.
• Confidentiality obligations survive termination and remain in effect indefinitely.

Our solutions may integrate with third-party tools including OpenAI, AWS, Google Cloud, Zapier, Make, HubSpot, Pipedrive, Salesforce, and others. Your use of these platforms is governed by their own terms of service.

Onlyway AI is not responsible for changes, outages, pricing updates, or policy changes from third-party providers that affect your implementation after delivery.

These Terms are governed by the laws of the jurisdiction in which Onlyway AI operates. Any disputes will be resolved through good-faith negotiation first. If unresolved within 30 days, disputes will proceed to binding arbitration or the appropriate courts of the governing jurisdiction.

We may update these Terms from time to time to reflect changes in our services or legal requirements. When we do, we'll revise the "Last updated" date at the top of this page. We'll notify active clients of material changes via email. Continued engagement with our services after updates are posted constitutes acceptance of the revised Terms.
